Terms of Service — Valle Capital Token

These Terms of Service ("Terms") govern your access to and use of valletoken.com, the investor dashboard, and the Valle Capital Token (VCT) presale (collectively, the "Services"), operated by Global Agribusiness Group LLC, 30 N Gould St, STE R, Sheridan, Wyoming 82801, USA ("Company", "we", "us"). By accessing the Services you agree to these Terms. If you do not agree, do not use the Services.

1.Eligibility & restricted jurisdictions

You must be at least 18 years old and legally able to enter into these Terms. The presale is not offered to, and may not be accessed by, persons located in, or citizens or residents of:

the United States of America;
Brazil (for the presale);
any country or region subject to comprehensive OFAC sanctions, including Cuba, Iran, North Korea, Syria, Russia, and the Crimea, Donetsk and Luhansk regions of Ukraine.

You are solely responsible for ensuring that your participation is lawful in your jurisdiction.

2.Nature of the token

VCT is a utility token intended for use within the Valle Capital agribusiness and real-world-asset (RWA) ecosystem. VCT is not a share, security, deposit, or a promise of profit, dividend or return. Nothing on the Services is investment, financial, legal or tax advice. You should obtain independent professional advice before participating.

3.Presale & token terms

The presale runs in staged rounds with round-based pricing, as described on the site and in the white paper.
Purchases are made on the BNB Smart Chain (BSC) using USDT, USDC or BNB, or via a third-party fiat on-ramp (Section 5).
Tokens vest and are claimable after the Token Generation Event (TGE) per the published schedule.
All on-chain transactions are final and irreversible. Except where required by law, purchases are non-refundable.
We may pause, adjust or advance rounds, and modify parameters, subject to the project's governance.

4.Wallets & your responsibility

You interact with the Services through a self-custodial wallet that you control. You are solely responsible for your wallet, private keys, seed phrase and device security. We never have access to, and will never ask for, your private keys or seed phrase. We are not liable for losses resulting from compromised wallets, incorrect addresses, or user error.

5.Third-party services (fiat on-ramp)

The optional "Card Gateway" uses Transak, an independent third-party provider, to let you buy crypto (e.g., USDT/BNB) with a card or bank transfer, delivered to your own wallet. Transak — not the Company — processes your payment, performs any identity verification, and assumes payment and fraud risk. Your use of Transak is governed by Transak's own terms and privacy policy. The Company does not receive or store your card or identity data and is not responsible for Transak's services.

6.Prohibited use

Using the Services for money laundering, terrorist financing, fraud or any unlawful activity.
Circumventing jurisdiction restrictions, sanctions screening, or security controls.
Interfering with, attacking, or attempting to gain unauthorised access to the Services.
Using the Services on behalf of a sanctioned person or restricted jurisdiction.

7.Risk disclosure

Digital assets are highly volatile and involve significant risk, including the risk of total loss. Prices can fall as well as rise. Blockchain transactions are irreversible. Regulatory treatment of digital assets is evolving and may adversely affect the project. You should only participate with funds you can afford to lose. By using the Services you acknowledge and accept these risks.

8.Intellectual property

The Valle Capital name, logo, website content and materials are owned by or licensed to the Company. You may not copy, modify or exploit them without permission, except as permitted by law.

9.Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free or secure.

10.Limitation of liability

To the maximum extent permitted by law, the Company and its officers, members and agents shall not be liable for any indirect, incidental, special, consequential or exemplary damages, or for any loss of profits, tokens, data or goodwill, arising from your use of the Services. Our total aggregate liability shall not exceed the amount you paid to us (if any) in the three months preceding the claim.

11.Indemnification

You agree to indemnify and hold harmless the Company from any claims, damages or expenses arising from your use of the Services, your breach of these Terms, or your violation of any law or third-party right.

12.Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws principles. Disputes shall be subject to the exclusive jurisdiction of the competent courts located in Wyoming, unless mandatory local law provides otherwise.

13.Changes

We may amend these Terms at any time. The "Last updated" date reflects the current version; continued use after changes constitutes acceptance.
